Terms of Use

This document is an electronic record in terms of The Information Technology Act, 2000 ("IT Act") and rules thereunder, and is published in accordance with the provisions of Rule 3 (1) of the Information Technology (Intermediaries Guidelines ) Rules 2011, which mandates for publishing of rules and regulations, privacy policy and terms of use for access or usage of the application. This electronic record is generated by a computer system and does not require any physical or digital signatures.


Welcome to KnowledgePath, an online learning platform operated by Southshore Innovations Private Limited ("we," "us," or "our" “Southshore”). These terms and conditions (“Terms”, “Agreement”) are an agreement between Southshore and You (“User”, or “Learner” or “You” or “Your”). This Agreement sets forth the general terms and conditions of your use of KnowledgePath and any of its products or services (“collectively, “Platform” or “Services”).


By accessing or using Platform, you agree to comply with and be bound by these Terms of Use.


These Terms may be read as a stand-alone document or be read with such other documents as it may apply. We may make changes to these Terms at any time. Any changes we make will be effective immediately when we post a revised version of these Terms on the Website. By continuing to use this Website after such changes, shall constitute your consent to any such changes.


Our Services are diverse, so sometimes specific terms and/or additional terms (including age requirements) may apply when you avail our Services. Additional terms will be available with the relevant Services and/or offers, and those additional terms become part of these Terms, if you use of those Services.

1. Eligibility and Account Registration


As a Learner, to access Platform and use certain Services, you agree to create an individual account on the Platform. You will be required to verify your Mobile Number or email address and provide your name and other personal information. To protect your account with KnowledgePath, keep your login and credentials i.e password and OTP confidential. You are solely responsible for all the activity that happens on or through your account created in KnowledgePath, whether authorized by you or not.  By registering, you hereby grant consent for contacting you via telephone or email based on the information furnished by you either by us, or our Affiliates or third parties nominated in this regard for providing better services or for promotional activities related to the Services.


In order to register with the Platform, you must be 18 (Eighteen) years of age or older. A Learner who does not fulfil the Age Requirements mentioned above (as may be revised as per applicable laws from time to time) and is desirous of registering on the Platform i.e., if a Learner is a “Minor”/ “Child”, then the Learner may use the Platform with the consent of, and under the supervision of, their parent or legal guardian (“Parent”). Accordingly, in such a case, the Parent must agree to the Platform Terms at the time of their registration on the Platform. Please note that minors/children are not by themselves eligible to register on the Platform. When a Minor/Child uses the Platform, we assume that the Parent of such Minor/Child has enabled the Minor/Child’s usage of the Platform by agreeing to the Platform Terms and that such usage is under the supervision of their Parent.


Please note that we reserve the right to reject or put on-hold your registration on the Platform as may be required to comply with any legal and regulatory provisions, and also reserve the right to refuse access to the Platform, terminate accounts, remove content at any time without providing any notice to you, and/or reserve the right to disable any account, feature, or identifiers, whether chosen by you or provided by us, at any time if, in our opinion, the said identifiers or you have violated any provision of the Platform Terms.

2. Services Provided


KnowledgePath offers video courses, live sessions, study materials, quizzes, tests, and discussion forums. These services may include free content, subscription-based access, and one-time purchases. You can purchase Subscriptions by following the instructions you encounter as you navigate through the Platform. KnowledgePath does not grant academic credit for the completion of contents provided in the Platform.  Unless otherwise explicitly indicated by a credit-granting institution, participation in or completion of Content Offerings does not confer any academic credit.

The terms that are applicable to Your purchase of Subscription(s) -

  1. Purchase of a Subscription will allow you access only to the content available under the category of content for which you have purchased the Subscription.
  2. The Services offered, and the validity/term of your Subscription (“Subscription Period”) may vary depending on the plan you may purchase. Hence, before you proceed to purchase any Subscription, please read and understand the details of the Subscription(s) you intend to purchase on the Platform. If you are unclear about any part of the Subscription offering or need further clarification, then please feel free to write to us prior to your purchase at email address provided in the ‘Contact for User Support/Queries’ section below.
  3. We may personalize Services and feature them as part of Subscriptions, including showing you recommendations on content in the subscribed category, and other related categories that might be of interest to you. We also endeavor to continuously improve the Subscription offerings to improve your Platform experience.
  4. Subscription Period may be extended upon renewal of your already purchased Subscription. The terms of renewal, if any, can be found on our Site and/or Application. However, please note that the prices may stand revised from the time of your first purchase of the Subscription.
  5. The Subscription is of a personal nature and is solely for the benefit of the person subscribing and is not allowed to be resold by you or transferred to or shared with any other person for consideration or otherwise. In the event we get to know that any User has resold / transferred / shared Subscription with another person, then Southshore retains the right to cancel/terminate the Subscription forthwith.
  6. Due to the limitations, if any, imposed on us by our Content Providers (who own the Content Provider Content), the Content Provider Content we make available to you under any Subscription offering are subject to restrictions on viewing access and on the length of time we make them available to you.
  7. Depending on the Subscription Service you have purchased, you may be given access to certain additional Services and features. The additional terms applicable to each of these additional Services may be made available to you on the Platform in the form of terms and conditions or FAQs (Frequently Asked Questions) for that specific Service or may be otherwise communicated to you. Hence, please be sure to go through the Platform Terms to understand the additional services, if any made available to you, and how you can avail the same.

3. Pricing, Billing, and Refunds

Certain content and services are paid. You can purchase a Subscription Service of your choice for any category(ies) of content by following instructions on the Platform and making the payment applicable for the Subscription you intend to purchase.


Due to the digital nature of our products, all sales are final, and no refunds will be provided. However, learners unable to attend schedule based programs due to scheduling conflicts or other reasons may rejoin the next batch at a later time by notifying us.


4. Security


We care about the security of our users. While we work to protect the security of your account and related information, Southshore cannot guarantee that unauthorized third parties will not be able to defeat our security measures. 5. Links to other websites


Although this Platform may be linked to other websites, we are not, directly or indirectly, implying any approval, association, sponsorship, endorsement, or affiliation with any linked website, unless specifically stated herein. We are not responsible for examining or evaluating, and we do not warrant the offerings of, any businesses or individuals or the content of their websites. We do not assume any responsibility or liability for the actions, products, services and content of any other third parties. You should carefully review the legal statements and other conditions of use of any website which you access through a link from this Platform. Your linking to any other off-site websites is at your own risk.

6. Intellectual Property Rights

This Agreement does not transfer from Southshore to you any Southshore or third party intellectual property, and all right, title, and interest in and to such property will remain (as between the parties) solely with Southshore. All trademarks, service marks, graphics, logos and content, including course materials, videos, quizzes, and related content used in connection with our Platform or Services are Intellectual Property rights of Southshore. Other trademarks, service marks, graphics and logos used in connection with our Platform or Services may be the trademarks of other third parties. Your use of our Website and Services grants you no right or license to reproduce or otherwise use any Southshore’s IP or third-party trademarks.

7. User Conduct


Learners agree to engage respectfully in discussion forums and live sessions. Harassment, hate speech, spamming, or any abusive behavior is strictly prohibited. Violations may result in warnings, suspension, or termination of access. In addition to other terms as set forth in the Agreement, you are prohibited from using the Website or its Content: (a) for any unlawful purpose; (b) to solicit others to perform or participate in any unlawful acts; (c) to violate any international, federal, provincial or state regulations, rules, laws, or local ordinances; (d) to infringe upon or violate our intellectual property rights or the intellectual property rights of others; (e) to harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability; (f) to submit false or misleading information; (g) to upload or transmit viruses or any other type of malicious code that will or may be used in any way that will affect the functionality or operation of the Service or of any related website, other websites, or the Internet; (h) to collect or track the personal information of others; (i) to spam, phish, pharm, pretext, spider, crawl, or scrape; (j) for any obscene or immoral purpose; or (k) to interfere with or circumvent the security features of the Service or any related website, other websites, or the Internet. We reserve the right to terminate your use of the Service or any related website for violating any of the prohibited uses.

8. Privacy

Use of KnowledgePath is subject to our separate Privacy Policy, which governs how personal information is collected, used, and protected. By using the platform, you agree to the terms of that Privacy Policy.

9. Disclaimers of warranty


You agree that your use of our Platform or Services is solely at your own risk. You agree that such Service is provided on an “as is” and “as available” basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. We make no warranty that the Services will meet your requirements, or that the Service will be uninterrupted, timely, secure, or error free; nor do we make any warranty as to the results that may be obtained from the use of the Service or as to the accuracy or reliability of any information obtained through the Service or that defects in the Service will be corrected. You understand and agree that any material and/or data downloaded or otherwise obtained through the use of Service is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or loss of data that results from the download of such material and/or data. We make no warranty regarding any goods or services purchased or obtained through the Service or any transactions entered into through the Service. No advice or information, whether oral or written, obtained by you from us or through the Service shall create any warranty not expressly made herein.

10. Limitation of Liability


TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SOUTHSHORE, ITS AFFILIATES, THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, LOSSES OR EXPENSES OR CONSEQUENTIAL DAMAGES WHATSOEVER RESULTING FROM ANY (I) ERRORS, MISTAKES, OR INACCURACIES OF USER-GENERATED CONTENT OR ANY OTHER CONTENT AVAILABLE AT KNOWLEDGEPATH, (II) PERSONAL INJURY OR PROPERTY DAMAGE, OF ANY NATURE WHATSOEVER, RESULTING FROM YOUR ACCESS TO AND USE OF OUR PLATFORM, (III) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SECURE SERVERS AND/OR ANY AND ALL PERSONAL INFORMATION AND/OR FINANCIAL INFORMATION STORED THEREIN, (IV) ANY INTERRUPTION OR CESSATION OF TRANSMISSION TO OR FROM THE PLATFORM, (IV) ANY BUGS, VIRUSES, TROJAN HORSES, OR THE LIKE, WHICH MAY BE TRANSMITTED TO OR THROUGH OUR PLATFORM BY ANY THIRD PARTY, AND/OR (V) ANY ERRORS OR OMISSIONS IN ANY USER-GENERATED CONTENT OR ANY OTHER CONTENT OR FOR ANY LOSS OR DAMAGE OF ANY KIND INCURRED AS A RESULT OF YOUR USE OF ANY CONTENT POSTED, EMAILED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT SOUTHSHORE/ KNOWLEDGEPATH IS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Indemnification

You agree to indemnify and hold Southshore and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages or costs, including reasonable attorneys’ fees, incurred in connection with or arising from any third-party allegations, claims, actions, disputes, or demands asserted against any of them as a result of or relating to your use of the Platform or Services or any willful misconduct on your part.

12. Modifications to Terms


We reserve the right to update or modify these Terms of Use at any time. Your continued use of the Platform post any modification of the Agreement shall be taken as your consent and acceptance to such modifications. Nothing in the Agreement shall be deemed to confer any third-party rights or benefits. You are advised to check our Platform frequently to see recent changes and to keep yourself updated with the most recent updates.

13. Dispute Resolution and Governing Law


These Terms shall be governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of courts located in Chennai.

14. Termination


We reserve the right to suspend or terminate your access to KnowledgePath for violations of these Terms or other policies.

15. Miscellaneous


If any part of the Agreement is found to be unlawful, void or unenforceable, that part of the Agreement will be deemed severable and will not affect the validity and enforceability of any remaining provisions.


Any notice required to be given in connection with the Platform shall be in writing and sent to the registered office of Southshore. We do not guarantee continuous, uninterrupted or secure access to the Platform, and operation of the Platform may be interfered by numerous factors outside our control. Headings are for reference purpose only an on no way define, limit, construe or describe the scope or extent of such section. Our failure to act with respect to any breach by you or others does not waive our right to act with respect to subsequent or similar breaches.
